I’ve noticed an uptick in the number of posts on the subreddit asking how to ticket in Japan, as Seventeen is having an increasing number of events and concerts here. I thought I’d make a comprehensive post about what you need to know about ticketing in Japan! This guide will cover concerts, fanmeetings, the Seventeen museum, the Seventeen Cafe, and pop-up shops. I will also tell you how to sign up for the memberships in Japan. Many of these use the same type of ticketing system. Concerts/Fanmeetings I’ll start with these, because this is the most frequent post I see on this subreddit! In Japan, ticketing is done through a lottery system. Seventeen uses Lawson Ticket (ローチケット)and has for the past few years. There are multiple rounds of lottery, starting with the fanclub, then CaratMobile, then general sales. Both the fanclub and Carat Mobile have multiple draws, as you can see herehttps://www.seventeen-17.jp/statics/2023_fanmeeting_love on the most recent fanmeeting ticketing page. https://preview.redd.it/00hvopxckx2b1.png?width=1449&format=png&auto=webp&s=4c1f6f0487ae27120f9b2a20f69a57b13070c340 The options, under ticketing, are as follows: Fanclub Premium Seat lottery Carat Mobile Premium Seat lottery Second fanclub lottery (Regular seats + annotated seats) Second Carat Mobile lottery (Regular seats + annotated seats) Lawson L-encore card holders (Regular seats + annotated seats) General Ticketing (Not lottery, first come first serve) Lawson Ticket To do any lottery ticketing, you will have to sign up for a Lawson Ticket account. It will ask for a Japanese phone number when you sign up. This is where you sign up. When you click this, it will ask for an email address, password, and to accept the terms of service. It will then send you an email, and once you confirm it you can keep going. After that, we’re on to account information. If you do not have an address in Japan, use the address you are currently staying at, or have a friend lend you theirs. They will not send the tickets to the address, so you don’t have to worry about that. Just get something in there! The page looks like this, and I put in English what you need to put in! PLEASE MAKE SURE THIS IS ALL RIGHT!!! If you are selected for tickets, you may get your name checked at the gate on the day of the concert, and if your name doesn’t match up they could refuse you entry. They check every name for premium seats, so if you are applying for those please be extra careful! For your katakana name just look up a Japanese katakana chart and try to match your english name as best as possible, it doesn’t really matter because your name will be printed in both English and Katakana on the ticket. https://preview.redd.it/1f5sqzpvdx2b1.png?width=475&format=png&auto=webp&s=f1c7a62f352c46801b103349f69c634d12cec13d Don’t forget your last name goes first, then your first name! For this tutorial I used one of my family’s American phone numbers and it took it with no questions, so just put your real phone number in and it should be fine! After this page, you have finished signing up! Now that we have our account, we can apply for tickets. Back to the Seventeen Japan page screenshotted earlier in the post, there will be open links when it is time to apply for tickets. The boxes with red lettering under tickets https://www.seventeen-17.jp/statics/2023_fanmeeting_love will turn into links when it is time to ticket, and there should also be an active link in the description box when you push the arrow on the side for more information. Because you’ll come straight from the Seventeen website it’ll dump you straight on the ticketing page, so you can ignore the first step! After you apply to the lottery, you will receive confirmation emails for your entries. These results came out on March 24th at 11 am. You can see your results on My Page on the Lawson ticket website at that time, but usually the servers are so crowded you will never be able to log in. Other than that, and what I usually do, is wait for the emails. You will get an email telling you if you have gotten the tickets or not. To pick up tickets, you need the phone number you used, as well as the number under the artist name (I blanked mine out). The first date in March in this email told me when I needed to pay by (March 28th at 11:00 pm) and the second date in May is when I could go pick up my tickets (from May 12th at 1pm to to March 27th at 11pm). When you go to pay, the cashier will give you a slip of paper that shows you paid. Make sure to hang onto this!! I always hold onto my receipt too just in case. When you go to get your tickets, you just give the cashier that paper, and they print the tickets out for you. As you can see, the pickup date ran all the way until the day before the last day of the fanmeeting, so if you aren’t in Japan until right at the date then that is okay! Just make sure to pick them up at any Lawson before your time runs out! You won’t know your seats until you pick up your tickets. General ticketing is not a lottery. You will need to get onto the fastest wifi you can and fight everybody tooth and nail for these tickets. I have tried general ticketing for 5-6 years, and I have never been successful. Lol… But I will cheer all you general sales people on!! You got this!! Make sure to follow the steps above for an account well before the date, as you will get tripped up and miss your ticketing chance if you don’t pre-register. Also be sure to have your debit/credit card entered, as I have heard of much more success from those who pay by card rather than convenience store pay. Fanclub Before I get into fanclub and carat mobile, I want to let you know that if you do not have an address or phone number in Japan, getting into these is basically impossible. The fanclub sends you mail, so you can’t just put any address in. Carat Mobile is only available on phones, and you have to have a Japanese phone number to actually have an account. I’m sorry :( The Fanclub does its sign ups through Lawson, and you pay a year’s sum when you sign up. Click the left button! On the new page, scroll to the bottom and agree to terms, then click the blue button on the right and login to your Lawson account. The next page will ask for your details are. Because you already signed up for an account it should be automatically filled in. Just make sure everything is right, as again they will be checking your name for premium or VIP seats. You also get a Carat ID card in the mail when you sign up for the fanclub, so make sure everything is spelled correctly! Don’t forget that your last name goes first, then your last name! When you press next, it will take you to a page that asks your bias and your favorite unit. Members are listed in fanchant order, the units are 1. Vocal 2. Hip Hop 3. Performance Choose and press next! :) On the next page, it will confirm that all of your information is correct. Please triple check that everything is correct!! Next it will ask for a payment method. Credit card is on the left. Put in your card details, and you’re finished! You’ll get an email with your fanclub member number and a link, press the link and it will prompt you to set your password. Your ID card and pin will be in the mail within two months :) Within the past two years the fanclub has introduced ticket trading, where if someone cannot go to the concert but has tickets, they can put them up for sale. The Seventeen Japan Twitter usually posts when this becomes available, and you can only access it if you are a fanclub member. Tickets are available for face value + handling fees. I have not done this before, so I have no advice or guidance for this part! I am sorry! I assume it will be mostly the same as the other ticketing in this post though, so hopefully if you choose this route you can use something from here to help. Carat Mobile Now for Carat Mobile. Carat Mobile is a better option for those who cannot or do not want to pay the larger fanclub fee all at once. The monthly fee is 550 yen, or about $3.92 usd. Carat Mobile is only available on your phone, so scan the qr code from the website here https://www.seventeen-caratmobile.jp/statics/pc and continue to sign up on your phone. Once you scan the QR code, click the three bars in the top right of the screen. Then, click the button under "Gallery" to go to make a new account. Once you are here, it will ask for an email address and for you to accept the terms of service. Check your email for a sign up email. The email looks like this. Press credit card, put your silly numbers in, your name, agree to the terms of service, and press the very bottom button. It will take you to the finishing page, where it will give you your member number. The number will be seven numbers starting with an M. You are now a Carat Mobile member! Congrats! It will bill you monthly. Unofficial ticketing If you lose all the lotteries or cannot access Carat Mobile or the Japanese Fanclub, you can go the unofficial way: Twitter or proxy sites! These tickets are much riskier, as Japanese venues randomly check names on tickets. If you are checked and the name doesn’t match your ID, the staff will turn you away and you will not be able to enter the venue. If you want to look for tickets on twitter, here is your format. I’ll use the Love Fanmeeting as the example. Type this into the twitter search bar. SEVENTEEN 2023 JAPAN FANMEETING 'LOVE' セブチ ペンミ ファンミ チケット 求 (want)▶︎5/28 東京ドーム 1枚 (date you want + how many, this one says tokyo dome 1 ticket) 譲 (will give) ▶︎定価+手数料 (list price + handling fee) Or switch it around, but it should give you the same result! DO NOT BUY THESE SECOND HAND!! People make burner accounts just for selling, like this one is. They are asking for list price and handling fee, but some people ask for you to name a price. These tickets will be very expensive, as it is competitive and these people usually have many people asking for tickets. When you’re looking for tickets, make sure that the characters are in the correct place. What the person in the tweet is looking for is under this kanji: 求 What the person in the tweet is in possession of is under this kanji: 譲 When buying tickets from twitter, the people will usually meet you at the venue with the tickets. They should take them out and show you to prove they are real. You then hand them the money. This is probably the safest way to go if you’re doing unofficial sales, as other sites may make you pay in advance. If they are a scammer, your money is lost :( Unlike other countries, there are no official resale sites. Be careful, and godspeed! Seventeen Cafe Now for all the other smaller events you can go to!! The Seventeen Museum and Cafe happen once a year. Each time it happens, there is a new webpage for it. I’ll use the most recent cafe, 2022 Winter Camping, to show how to get tickets. Here https://seventeen-cafe-wintercamping.jp/ is the link to see! First, you’ll have to make an account with the company that runs the cafes. At the top right of the page, press the left button. The first page is terms and services, accept these. To make sure foreigners can also access this, I made a new account with an overseas phone number, and it worked! :) It will take you to the info confirmation page next, where you just make sure everything is right. There are two buttons, a black one on the right and a white one on the right. If the colors change, their positions should stay the same. Click the one on the right. And you’re finished! Now you can make a reservation. Weekends and Friday evenings fill up very fast, so if you can’t go on weekdays get to reservations right when they start! The Seventeen Japan Twitter will announce when they start. Hover over the reservation tab and pick the store you want to go to. They are usually in English, just make sure you pick the right one!! Pick your time, how many people you want ( I think it’s up to two), and finish the registration. It will send you an email. This is what the email looks like! If you chose to pay at the convenience store, it will also have the number you need to input into the machine to pay at the store. Other Carats will start lining up then too. The staff will go down the line and confirm your tickets. When it has gone through, the webpage will change, so it can’t just be a screenshot! You have to show the actual webpage. When you enter the cafe or when you sit down you will get to randomly draw your benefits! For this cafe it was a random plastic card and a card case. Study the menu and things beforehand, as when you line up the staff will give you a clipboard where you pick what you want to eat and drink. Each of the members have a meal, and there are also drinks with coasters. You pick which member you want on the coaster when you check which drink you want on the paper. The staff will also give you small cards with numbers on them when you sit down. They will call each number up to 4 at a time to go to the merch area and purchase what you want. This is your one time to grab merch, you can’t go back up so choose wisely and quickly!! If you’re very brave, you can try to trade with other carats at the cafe for your bias. You can usually see whose bias is whose because of the photocards and merch each person brings. I love going to the cafes, it’s so fun to see other carats and enjoy the cafe with them :) They play music videos and a video that the sebongies shot for the cafe, they tell you to have fun and talk about the theme of the cafe. You have an hour and a half to sit! If you have the chance to, please go!! Have fun! :) Seventeen Museum Getting tickets for the Museum is a lot like the cafe. If you want weekend/Friday night tickets, get reservations early! Museum tickets are on Lawson ticket. Log in before we start to streamline the process! The museums are announced on the Seventen Japan Twitter! This https://www.seventeen-17.jp/posts/information/lzzacj was the page for the 2022 museum. This is where you went for tickets. The top links are for those who want to go in the earlier month (September) and below was for those who missed ticketing for September or could go in the later months (October and November). Because it’s the same as the concert tickets, please refer to the concert ticket section if you need help there! Pop up stores When there is a comeback and before a concert, there are pop up stores. There are albums, concert merch, and other things, as well as a photo spot to take pictures. Same as the cafe and museum, get there very fast for weekend and Friday night spots. In Japanese, there are multiple alphabets; hiragana (furigana), katakana, and kanji. Western names will be in katakana, which is the way that foreign words are written in Japanese. Hiragana is the basic Japanese alphabet, and furigana is written above kanji to indicate its pronunciation. Spring-heeled Jack was described by people who claimed to have seen him as having a terrifying and frightful appearance, with diabolical physiognomy, clawed hands, and eyes that "resembled red balls of fire". One report claimed that, beneath a black cloak, he wore a helmet and a tight-fitting white garment like an oilskin. Many stories also mention a "Devil-like" aspect. Others said he was tall and thin, with the appearance of a gentleman. Several reports mention that he could breathe out blue and white flames and that he wore sharp metallic claws at his fingertips. These human-like figures were described as pale; it was believed that they stalked and preyed on lone pedestrians. The stories told of these figures formed part of a distinct ghost tradition in London which, some writers have argued, formed the foundation of the later legend of Spring-heeled Jack.[3]The most important of these early entities was the Hammersmith Ghost, which in 1803 and 1804 was reported in Hammersmith on the western fringes of London; it would later reappear in 1824. Another apparition, the Southampton ghost, was also reported as assaulting individuals in the night. This particular spirit bore many of the characteristics of Spring-heeled Jack, and was reported as jumping over houses and being over 10 ft (3.0 m) tall.[3] Early reports📷Illustration of Spring-heeled Jack, from the serial Spring-heel'd Jack: The Terror of LondonThe first alleged sightings of Spring-heeled Jack were made in London in 1837 and the last reported sighting is said in most of the secondary literature to have been made in Liverpool in 1904.[4][5] According to much later accounts, in October 1837 a girl by the name of Mary Stevens was walking to Lavender Hill, where she was working as a servant, after visiting her parents in Battersea. On her way through Clapham Common, a strange figure leapt at her from a dark alley. After immobilising her with a tight grip of his arms, he began to kiss her face, while ripping her clothes and touching her flesh with his claws, which were, according to her deposition, "cold and clammy as those of a corpse". In panic, the girl screamed, making the attacker quickly flee from the scene. The commotion brought several residents who immediately launched a search for the aggressor, but he could not be found.[6] The next day, the leaping character is said to have chosen a very different victim near Mary Stevens' home, inaugurating a method that would reappear in later reports: he jumped in the way of a passing carriage, causing the coachman to lose control, crash, and severely injure himself. A few months after these first sightings, on 9 January 1838, the Lord Mayor of London, Sir John Cowan), revealed at a public session held in the Mansion House an anonymous complaint that he had received several days earlier, which he had withheld in the hope of obtaining further information. The correspondent, who signed the letter "a resident of Peckham", wrote: It appears that some individuals (of, as the writer believes, the highest ranks of life) have laid a wager with a mischievous and foolhardy companion, that he durst not take upon himself the task of visiting many of the villages near London in three different disguises—a ghost, a bear, and a devil; and moreover, that he will not enter a gentleman's gardens for the purpose of alarming the inmates of the house. The wager has, however, been accepted, and the unmanly villain has succeeded in depriving seven ladies of their senses, two of whom are not likely to recover, but to become burdens to their families. At one house the man rang the bell, and on the servant coming to open door, this worse than brute stood in no less dreadful figure than a spectre clad most perfectly. The consequence was that the poor girl immediately swooned, and has never from that moment been in her senses. The affair has now been going on for some time, and, strange to say, the papers are still silent on the subject. The writer has reason to believe that they have the whole history at their finger-ends but, through interested motives, are induced to remain silent.[8]Though the Lord Mayor seemed fairly sceptical, a member of the audience confirmed that "servant girls about Kensington, Hammersmith and Ealing, tell dreadful stories of this ghost or devil". The matter was reported in The Times on 9 January, other national papers on 10 January and, on the day after that, the Lord Mayor showed a crowded gathering a pile of letters from various places in and around London complaining of similar "wicked pranks". The quantity of letters that poured into the Mansion House suggests that the stories were widespread in suburban London. One writer said several young women in Hammersmith had been frightened into "dangerous fits" and some "severely wounded by a sort of claws the miscreant wore on his hands". Another correspondent claimed that in Stockwell, Brixton, Camberwell and Vauxhall several people had died of fright and others had had fits; meanwhile, another reported that the trickster had been repeatedly seen in Lewisham and Blackheath.[citation needed] The Lord Mayor himself was in two minds about the affair: he thought "the greatest exaggerations" had been made, and that it was quite impossible "that the ghost performs the feats of a devil upon earth", but on the other hand someone he trusted had told him of a servant girl at Forest Hill who had been scared into fits by a figure in a bear's skin; he was confident the person or persons involved in this "pantomime display" would be caught and punished.[9] The police were instructed to search for the individual responsible, and rewards were offered.[citation needed] A peculiar report from The Brighton Gazette, which appeared in the 14 April 1838 edition of The Times, related how a gardener in Rosehill, Sussex, had been terrified by a creature of unknown nature. The Times wrote that "Spring-heeled Jack has, it seems, found his way to the Sussex coast", even though the report bore little resemblance to other accounts of Jack. The incident occurred on 13 April, when it appeared to a gardener "in the shape of a bear or some other four-footed animal". Having attracted the gardener's attention by a growl, it then climbed the garden wall and ran along it on all fours, before jumping down and chasing the gardener for some time. The Alsop report was widely covered by the newspapers, including a piece in The Times,[11] while fewer reports appeared in relation to the attack on Scales. The press coverage of these two attacks helped to raise the profile of Spring-heeled Jack.[citation needed] Alsop caseJane Alsop reported that on the night of 19 February 1838, she answered the door of her father's house to a man claiming to be a police officer, who told her to bring a light, claiming "we have caught Spring-heeled Jack here in the lane". She brought the person a candle, and noticed that he wore a large cloak. The moment she had handed him the candle, however, he threw off the cloak and "presented a most hideous and frightful appearance", vomiting blue and white flame from his mouth while his eyes resembled "red balls of fire". Miss Alsop reported that he wore a large helmet and that his clothing, which appeared to be very tight-fitting, resembled white oilskin. Without saying a word he caught hold of her and began tearing her gown with his claws which she was certain were "of some metallic substance". She screamed for help, and managed to get away from him and ran towards the house. He caught her on the steps and tore her neck and arms with his claws. She was rescued by one of her sisters, after which her assailant fled.[4][12]Scales caseOn 28 February 1838,[13] nine days after the attack on Miss Alsop, 18-year-old Lucy Scales and her sister were returning home after visiting their brother, a butcher who lived in a respectable part of Limehouse. Miss Scales stated in her deposition to the police that as she and her sister were passing along Green Dragon Alley, they observed a person standing in an angle of the passage. She was walking in front of her sister at the time, and just as she came up to the person, who was wearing a large cloak, he spurted "a quantity of blue flame" in her face, which deprived her of her sight, and so alarmed her, that she instantly dropped to the ground, and was seized with violent fits which continued for several hours.[14]Her brother added that on the evening in question, he had heard the loud screams of one of his sisters moments after they had left his house and on running up Green Dragon Alley he found his sister Lucy on the ground in a fit, with her sister attempting to hold and support her. She was taken home, and he then learned from his other sister what had happened. She described Lucy's assailant as being of tall, thin, and gentlemanly appearance, covered in a large cloak, and carrying a small lamp or bull's eye lantern similar to those used by the police. The individual did not speak nor did he try to lay hands on them, but instead walked quickly away. He was arrested and tried at Lambeth Street court. The arresting officer was James Lea, who had earlier arrested William Corder, the Red Barn Murderer. Millbank had been wearing white overalls and a greatcoat, which he dropped outside the house, and the candle he dropped was also found. He escaped conviction only because Jane Alsop insisted her attacker had breathed fire, and Millbank admitted he could do no such thing. Most of the other accounts were written long after the date; contemporary newspapers do not mention them.[citation needed] 📷Ad for Spring Heeled Jack, a penny dreadful (1886) After these incidents, Spring-heeled Jack became one of the most popular characters of the period. His alleged exploits were reported in the newspapers and became the subject of several penny dreadfuls and plays performed in the cheap theatres that abounded at the time. The devil was even renamed "Spring-heeled Jack" in some Punch and Judy shows, as recounted by Henry Mayhew in his London Labour and the London Poor: This here is Satan,-we might say the devil, but that ain't right, and gennelfolks don't like such words. He is now commonly called 'Spring-heeled Jack;' or the 'Rossian Bear,' – that's since the war. — Henry Mayhew, London Labour and the London Poor, p. 52[15]But, even as his fame was growing, reports of Spring-heeled Jack's appearances became less frequent if more widespread. In 1843, however, a wave of sightings swept the country again. A report from Northamptonshire described him as "the very image of the Devil himself, with horns and eyes of flame", and in East Anglia reports of attacks on drivers of mail coaches became common. In July 1847 "a Spring-heeled Jack investigation" in Teignmouth, Devon led to a Captain Finch being convicted of two charges of assault against women during which he is said to have been "disguised in a skin coat, which had the appearance of bullock's hide, skullcap, horns and mask".[16] The legend was linked with the phenomenon of the "Devil's Footprints" which appeared in Devon in February 1855.[citation needed] Last reportsIn the beginning of the 1870s, Spring-heeled Jack was reported again in several places distant from each other. In November 1872, the News of the World reported that Peckham was "in a state of commotion owing to what is known as the "Peckham Ghost", a mysterious figure, quite alarming in appearance". The editorial pointed out that it was none other than "Spring-heeled Jack, who terrified a past generation".[17] Similar stories were published in The Illustrated Police News. In April and May 1873, it reported there were numerous sightings in Sheffield of the "Park Ghost", which locals also came to identify as Spring-heeled Jack.[18]Aldershot📷North Camp in Aldershot as it looked in 1866.This news was followed by more reported sightings, until in August 1877 one of the most notable reports about Spring-heeled Jack came from a group of soldiers in Aldershot Garrison. This story went as follows: a sentry on duty at the North Camp peered into the darkness, his attention attracted by a peculiar figure "advancing towards him." The soldier issued a challenge, which went unheeded, and the figure came up beside him and delivered several slaps to his face. A guard shot at him, with no visible effect; some sources claim that the soldier may have fired blanks) at him, others that he missed or fired warning shots. The strange figure then disappeared into the surrounding darkness "with astonishing bounds."[19][20][21] Lord Ernest Hamilton's 1922 memoir Forty Years On mentions the Aldershot appearances of Spring-heeled Jack; however, he (apparently erroneously) says that they occurred in the winter of 1879 after his regiment, the 60th Rifles, had moved to Aldershot, and that similar appearances had occurred when the regiment was barracked at Colchester in the winter of 1878. He adds that the panic became so great at Aldershot that sentries were issued ammunition and ordered to shoot "the night terror" on sight, following which the appearances ceased. Hamilton thought that the appearances were actually pranks, carried out by one of his fellow officers, a Lieutenant Alfrey.[22][23] However, there is no record of Alfrey ever being court-martialled for the offence.[24] LincolnshireIn the autumn of 1877, Spring-heeled Jack was reportedly seen at Newport Arch, in Lincoln, Lincolnshire, wearing a sheep skin. An angry mob supposedly chased him and cornered him, and just as in Aldershot a while before, residents fired at him to no effect. As usual, he was said to have made use of his leaping abilities to lose the crowd and disappear once again.[25]LiverpoolBy the end of the 19th century the reported sightings of Spring-heeled Jack were moving towards the north west of England. Around 1888, in Everton, north Liverpool, he allegedly appeared on the rooftop of Saint Francis Xavier's Church in Salisbury Street. In 1904 there were reports of appearances in nearby William Henry Street.[26]Aftermath and impact upon Victorian popular cultureThe vast urban legend built around Spring-heeled Jack influenced many aspects of Victorian life, especially in contemporary popular culture. For decades, especially in London, his name was equated with the bogeyman, as a means of scaring children into behaving by telling them if they were not good, Spring-heeled Jack would leap up and peer in at them through their bedroom windows, by night.However, it was in fictional entertainment where the legend of Spring-heeled Jack exerted the most extensive influence, owing to his allegedly extraordinary nature. Three pamphlet publications, purportedly based on the real events, appeared almost immediately, during January and February, 1838. They were not advertised as fiction, though they likely were at least partly so. The only known copies were reported to have perished when the British Library was hit during The Blitz, but their catalog still lists the first one. The character was written into a number of penny dreadful stories during the latter half of the 19th century, initially as a villain and then in increasingly heroic roles. By the early 1900s he was being represented as a costumed, altruistic avenger of wrongs and protector of the innocent, effectively becoming a precursor to pulp fiction and then comic book superheroes. TheoriesNo one was ever caught and identified as Spring-heeled Jack; combined with the extraordinary abilities attributed to him and the very long period during which he was reportedly at large, this has led to numerous and varied theories of his nature and identity.[citation needed] While several researchers seek a normal explanation for the events, other authors explore the more fantastic details of the story to propose different kinds of paranormal speculation.[citation needed]Sceptical positionsSceptical investigators have dismissed the stories of Spring-heeled Jack as mass hysteria which developed around various stories of a bogeyman or devil which have been around for centuries, or from exaggerated urban myths about a man who clambered over rooftops claiming that the Devil was chasing him.[27]📷Henry de La Poer Beresford, 3rd Marquess of Waterford (1840) Other researchers believe that some individual(s) may have been behind its origins, being followed by imitators later on.[28] Spring-heeled Jack was widely considered not to be a supernatural creature, but rather one or more persons with a macabre sense of humour.[4] This idea matches the contents of the letter to the Lord Mayor, which accused a group of young aristocrats as the culprits, after an irresponsible wager.[4] A popular rumour circulating as early as 1840 pointed to an Irish nobleman, the Marquess of Waterford, as the main suspect.[4] Haining) suggested this may have been due to him having previously had bad experiences with women and police officers.[29] The Marquess was frequently in the news in the late 1830s for drunken brawling, brutal jokes and vandalism, and was said to do anything for a bet; his irregular behaviour and his contempt for women earned him the title "the Mad Marquis", and it is also known that he was in the London area by the time the first incidents took place. In 1880 he was named as the perpetrator by E. Cobham Brewer, who said that the Marquess "used to amuse himself by springing on travellers unawares, to frighten them, and from time to time others have followed his silly example."[30][31] In 1842, the Marquess married and settled in Curraghmore House, County Waterford, and reportedly led an exemplary life until he died in a riding accident in 1859.[citation needed] Sceptical investigators have asserted that the story of Spring-heeled Jack was exaggerated and altered through mass hysteria, a process in which many sociological issues may have contributed. These include unsupported rumours, superstition, oral tradition, sensationalist publications, and a folklore rich in tales of fairies and strange roguish creatures. Gossip of alleged leaping and fire-spitting powers, his alleged extraordinary features and his reputed skill in evading apprehension captured the mind of the superstitious public—increasingly so with the passing of time, which gave the impression that Spring-heeled Jack had suffered no effects from ageing. And it's all coming together, for the final cut scene. 69D Checkmate: Acquiring BABY With LBO FinancingI should start off by clarifying what I have discovered in that BBBY, the parent company, may not be the target for acquisition anymore.The reason for that is because the covenant restrictions, liens, and debts have been removed through chapter 11 restructuring (thank you shorties) and no longer prevent BBBY from selling its prized crown jewel and subsidiary asset: buybuyBABY. Therefore, the most logical step is to just buyout BABY directly in a carve-out and that is exactly what has already taken place which I will prove here. So how was this LBO deal financed and handled? I have discovered 2 major rounds of funding sent to BBBY for carve-out of BABY, but first:
The first round of funding delivered to BBBY came from $IEP indirectly through a Shelf-Registration filed with SEC on July 26, 2022 by pledging up to $400M in $IEP Depository Units (put up as collateral for loans). I mention indirectly, because those funds were routed to Sixth Street Partners then given to BBBY. On August 24, 2022, BBBY received up to $400M in emergency funds needed to stave off bankruptcy, according to Barron's: Bed Bath & Beyond Finalizing $400 Million Loan With Sixth Street PartnersWhile MSM is known for spreading FUD, they were at least able to confirm this in half-truths but I will correct it: Sixth Street provided this emergency loan of $400M to BBBY, but with good intention because BBBY knew they were being cellar boxed to bankruptcy. Sixth Street has been identified as the DIP Agent Lender in $BBBYQ ch11 court docs and is legal counseled by Proskauer Rose via IEP, as I mentioned in part 1 post. The first round of funding enabled the Activist Investors to save Bed, Bath, and Beyond, while simultaneously become the stalking horse, and gaining Super Seniority to acquire Assets in the ch11 court sales by providing the DIP Facility (another signature move by Icahn). None of this would have been possible without the shorting hedge funds and abusive naked shorting that essentially led to the creation of the ultimate bear trap and has now revealed they are swimming naked with 348 million shares oversold to retail investors - Check ✅ Round 2 Financing This will be broken down based on IEP filings into two parts to see the movement of the Funds. IEP also entered into a guaranty agreement with an affiliate of Brett Icahn, pursuant to which we guaranteed the payment of certain amounts required to be distributed by the Investment Funds to such affiliate pursuant to the terms and conditions of the Manager Agreement (terms of the Buying Ratio).By March 31, 2023, it appears Brett invested some of the Funds and after doing some basic math: $86M minus $49M comes out to $37M utilized. Following the terms of the Buying Ratio for $39:1 to enable co-investing, Brett would have had to make several transactions between 12/31/21 to 3/31/23, but each transaction would have been capped at $7.5M each, however, when aggregated it comes out to $37M for that period. So $37M x $39 = $1,443,000,000 or $1.443 Billion combined investment from $IEP, as directed by Brett. Where did that money go? It was given to B. Riley Securities (representing the mystery buyer IEP) to handle the transaction, since Hudson Bay Capital was removed after the Form S-1 was pulled (see post 1, section titled, "Preferred Stock via Form S-3 That Is Active"). Oh and this will help too, a screenshot from Pitchbook data that tracks Mergers & Acquisitions: Brett Icahn invested $1.443B and Pitchbook reveals buybuyBABY was acquired for 1.44B (the euro conversion on Jan 13, 2023 was 1 EUR = $1.08 USD) Remember when RC tweeted that he bought all the stocks on January 18, 2022? Preface: GMERICA Bull ThesisWhat are units?In part 1, I discovered how a unit may contain multiple securities combining GME and IEP and that the transaction is currently being handled by Jefferies which links all 3 companies: GME, IEP, BBBY = GMERICA. Furthermore, I believe these units will be used in the $BBBYQ chapter 11 bankruptcy restructuring for a leveraged buyout (LBO) deal involving cash and a [unit] share swap to either (1) purchase BBBY, or (2) just the subsidiary asset buybuyBABY, the crown jewel -- towards the end of this post, I will clarify what will most likely happen as a result. Upon completion of the LBO, a carve-out of buybuyBABY will then initiate a SPAC IPO to launch TEDDY into a new public company. This is the end goal. According to the SEC: Warrants. A SPAC IPO is often structured to offer investors a unit of securities consisting of (1) shares of common stock and (2) warrants. Common stock and warrants are currently involved in the buyout of Bed, Bath, and Beyond and has been mentioned in the ch11 court docs. Basically, the SPAC IPO is a vehicle that will deliver the units to the buyer of BBBY. This carve-out of buybuyBABY from BBBY will force shorts to close. How? Shorts will be forced to deliver units (shares of $GME x $IEP x $BBBYQ) and new TEDDY shares to the shareholders at all 3 parent companies: Bed, Bath, & Beyond, GameStop, and Icahn Enterprises LP. Moving forward, I will now refer to these future shareholders as Unithodlers or simply GMERICANs, who will become owners in the new company TEDDY in a post-SPAC IPO. This is my bull thesis for GMERICA. Now for the endgame play. The King's Empire Under SiegeCarl Icahn's $IEP empire is directly under attack by shorts, MSM, and SEC investigation.FYI- IEP is a holding company that directly controls and owns companies in 7 industries with 14 board members in other public companies.The attacks on IEP are playing out exactly as Dr. Patrick Byrne once said (credit u/EnvironmentalPlan870): OSTK CEO confirms everything that is currently happening to IEP But why are they attacking? See part 1 and the section under "A Master Fund for Handling Units", then this next part will make sense. The HindenNothingBurger & its Blitzkrieg Report of DestructionA shorting-selling hedge fund named Hindenburg Research released a self-serving report on IEP claiming that the company is operating a pyramid scheme which has caused the stock price to collapse -- to All-Time 5 year lows. IEP stock collapsed by -70% to 5 year lows On the outset, it looks like a classic short and distort campaign but the motives are actually much more nefarious. First, IEP is majority owned by Carl Icahn where he holds a staggering 84% stake in the company which would make one wonder - where are shorts getting shares if Icahn owns most of it? The simplest answer: Illegal naked shorting, or selling shares in a company you don't own. It's called stealing. Second, the real reason why shorts have laid siege to Carl Icahn's empire is out of desperation and a feeble attempt to dethrone the King. In one scene, Carl says the following: "I'll say this about Brett, he's much more low-key than I am. But he's one of the most obsessive characters, and he'll work very hard at something, extremely hard, especially if it means beating me at something."The movie also reveals how Brett and Carl used to routinely play chess but stopped because Brett became too good, and kept winning against Carl. Brett introduced Carl to tech stocks, starting with Netflix then Apple and now GMERICA (more on this below). Brett admits he received a privileged start but learned to swim on his own when Carl gave him a challenge. Brett wanted to manage money but had to prove himself by working for free: no salary, no bonus, and no income until he could generate a 7% return, first for Carl, then Brett would get paid later. In 2012, Carl invested into Netflix on behalf of Brett's recommendation and later in 2015 generated a return of $2.2 Billion, one of Carl's best investments. Perhaps long before the succession plan was activated: Brett Icahn was involved in the gaming industry in 2010 Brett was a board member of Take-Two Interactive, makers of the Grand Theft Auto game franchise, so it would be safe to say that Brett knew a thing or two about the Gaming Industry and its growth-rate. This is supported by the fact that Carl admitted he was not into tech stocks therefore Brett likely suggested Take-Two as an investment to his father, just like Netflix. Are you starting to see where this is all going? With a turnaround plan successfully implemented into GameStop, the company was able to escape Cellar Boxing. I believe in the first half of 2021 and post-sneeze, most of the Activism plans were just formulating since GameStop was still in dire straits up until June 2021. And that's when a second sneeze occurred which allowed GME management to conduct an At-The-Market share offering with Jefferies as the handler which generated a $1 Billion Dollar War Chest to finance the development of GameStop NFT marketplace and create the foundation to build a Web 3.0 Metaverse world in 2022. With one target company acquired and stabilized, it was then time to move onto the next. FYI- as of 4/23/23 from court docket 10 on page 27, it revealed that $BBBY had $1.8 Billion in total debt so they would need a massive pooled investment to buy out the entire company and then spin-off buybuyBABY (but a carve-out is the real plan).After RCV sent the letter to $BBBY board, it was also around the same time when a bunch of GameStop NFT creators hoisted the flag 🏴☠️ and started tweeting in unison. Lazard has been utilized to carry out LBO transactions for IEP's takeover of HP & Xerox by working with Carol Flaton of AlixPartners.
